Terms and Conditions

1. Agreement to Terms

These Terms and Conditions ('Terms') constitute a legally binding agreement between you ('User') and Cogniax AI ('we', 'us', 'our', or 'the Platform') governing your access to and use of the Cogniax AI school virtual platform, including all associated features, tools, content, and services.

By registering for, accessing, or using Cogniax AI, you confirm that you have read, understood, and agree to be bound by these Terms. If you are a minor, your parent, legal guardian, or school must accept these Terms on your behalf.

If you do not agree to these Terms, you must not use the platform.

2. Eligibility and Account Registration

2.1 Who May Use the Platform

Cogniax AI is intended for use by the following authorised user categories:

  • Students enrolled in a participating school or institution
  • Teachers and instructional staff employed by a participating institution
  • School administrators and management personnel
  • Parents and legal guardians of enrolled students

Users under the age of 13 must have verifiable parental or school consent prior to using the platform. Cogniax AI reserves the right to verify eligibility and suspend accounts found to be in violation.

2.2 Account Registration

To access the platform, users must create an account by providing accurate and complete information. Users agree to:

  • Provide truthful, accurate, and current registration details
  • Maintain the confidentiality of their account credentials
  • Immediately notify Cogniax AI of any unauthorised use of their account
  • Not share account access with any other person

Cogniax AI reserves the right to suspend or terminate accounts that violate these requirements.

3. Permitted Use of the Platform

3.1 Educational Purpose

Cogniax AI is designed exclusively for educational purposes. Permitted uses include:

  • Attending virtual classes and participating in online lessons
  • Submitting assignments, coursework, and academic assessments
  • Accessing educational resources, materials, and media
  • Communicating with teachers and classmates for academic purposes
  • Monitoring student progress (teachers and parents)
  • Managing classes, timetables, and school administration

3.2 Prohibited Use

Users must NOT use Cogniax AI to:

  • Post, share, or distribute offensive, abusive, hateful, or inappropriate content
  • Bully, harass, intimidate, or threaten other users
  • Share or solicit personal information from other students without consent
  • Distribute copyrighted material without authorisation
  • Engage in academic dishonesty, plagiarism, or cheating
  • Access or attempt to access accounts, systems, or data belonging to other users
  • Upload malware, viruses, or malicious code
  • Use the platform for commercial advertising or solicitation
  • Misrepresent your identity or impersonate another user or institution
  • Use automated bots, scrapers, or tools to extract platform data

Violation of prohibited use policies may result in immediate account suspension, termination, and/or referral to relevant authorities.

4. Student Safety and Safeguarding

The safety and well-being of students is our highest priority. Cogniax AI is committed to maintaining a safe and supportive virtual learning environment. In support of this commitment:

  • All interactions on the platform are subject to monitoring in accordance with school safeguarding policies
  • Direct messaging between students and adults outside approved contacts is restricted by design
  • Teachers and administrators are responsible for moderating classroom interactions
  • Users who identify safeguarding concerns must report them to the school's designated safeguarding lead and/or contact Cogniax AI at safety@cogniax.ai
  • We cooperate fully with safeguarding investigations by schools and relevant authorities

Any content or behaviour that endangers the safety of a student or minor will result in immediate account suspension and may be reported to law enforcement.

5. Roles and Responsibilities

5.1 School Administrators

Schools subscribing to Cogniax AI are responsible for:

  • Ensuring proper authorisation and parental consent for student accounts
  • Configuring appropriate access controls and privacy settings
  • Training staff on platform use and safeguarding obligations
  • Managing and monitoring their institution's use of the platform
  • Complying with applicable data protection and education laws

5.2 Teachers

Teachers using the platform agree to:

  • Use Cogniax AI solely for legitimate educational purposes
  • Maintain professional conduct in all communications with students
  • Report any safeguarding concerns through appropriate channels
  • Ensure that classroom content is appropriate for the age group
  • Protect student privacy and not share student data with unauthorised parties

5.3 Students

Students agree to:

  • Use the platform respectfully and in accordance with school policies
  • Not engage in cheating, plagiarism, or academic misconduct
  • Report any bullying, harassment, or inappropriate content to a teacher or administrator
  • Protect their own login credentials and not share them with peers

5.4 Parents and Guardians

Parents and guardians agree to:

  • Monitor their child's use of the platform in a manner consistent with their parental responsibility
  • Report any concerns about their child's safety or interactions on the platform
  • Provide accurate and updated contact information for notifications

6. Intellectual Property

6.1 Platform Content

All software, design elements, trademarks, logos, features, and content comprising the Cogniax AI platform are the exclusive intellectual property of Cogniax AI or its licensors. Users may not copy, reproduce, distribute, or create derivative works from any platform content without prior written consent.

6.2 User-Submitted Content

Users retain ownership of content they submit to the platform (e.g., assignments, class materials). By submitting content, users grant Cogniax AI a limited, non-exclusive, royalty-free licence to host, display, and process such content solely for the purpose of delivering platform services.

Users confirm that any content they submit does not infringe third-party rights and does not contain unlawful material.

7. Subscription, Licensing and Payment

7.1 School Licensing

Cogniax AI is offered to schools and institutions on a subscription or licensing basis. Pricing, features, and terms of service will be specified in a separate agreement between Cogniax AI and the subscribing institution.

7.2 Individual User Accounts

Individual user accounts (students, teachers, parents) are created and managed through the school's institutional licence. Personal payments are not required for individual users unless expressly stated.

7.3 Cancellation and Refunds

Cancellation of institutional subscriptions is subject to the terms of the signed agreement with the institution. Cogniax AI does not offer refunds except where required by applicable consumer protection law.

8. Platform Availability and Technical Issues

Cogniax AI strives to maintain high availability and uptime of the platform. However, we do not guarantee uninterrupted access and may:

  • Perform scheduled maintenance with advance notice where possible
  • Experience temporary downtime due to unforeseen technical issues
  • Update, modify, or discontinue features with reasonable notice

We are not liable for any loss or disruption caused by temporary unavailability of the platform, provided we have taken reasonable steps to minimise such disruption.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Cogniax AI provides the platform on an 'as is' and 'as available' basis without warranties of any kind, express or implied
  • We are not liable for any indirect, incidental, special, or consequential damages arising from your use or inability to use the platform
  • Our total liability for any claim arising out of or related to these Terms shall not exceed the amount paid by the institution in the 12 months preceding the claim

Nothing in these Terms limits liability for death, personal injury, fraud, or any other liability that cannot be excluded by law.

10. Privacy

Your use of Cogniax AI is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, and protect your personal information. By using the platform, you consent to the practices described in the Privacy Policy.

11. Enforcement and Sanctions

Cogniax AI reserves the right to take the following actions in response to violations of these Terms:

  • Temporary suspension of a user account pending investigation
  • Permanent termination of a user account
  • Removal of content that violates these Terms
  • Notifying the relevant school or institution
  • Reporting serious violations to law enforcement or child protection authorities

Users may appeal account suspension decisions by contacting support@cogniax.ai within 14 days of the action.

12. Modifications to Terms

Cogniax AI may update these Terms from time to time to reflect changes in our services, legal requirements, or operational policies. We will notify users of significant changes by:

  • Posting an in-platform notification
  • Sending an email notification to the institution's designated administrator
  • Updating the 'Effective Date' at the top of this document

Your continued use of the platform following any update constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the platform and notify your school administrator.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Insert Governing Jurisdiction]. Any disputes arising under or in connection with these Terms shall first be subject to good-faith negotiation between the parties.

If a dispute cannot be resolved informally, it shall be submitted to binding arbitration or the competent courts of [Insert Jurisdiction], as agreed upon by the parties or required by applicable law.

14. Third-Party Services

Cogniax AI may integrate with or link to third-party educational tools and services. We are not responsible for the content, policies, or practices of these third-party services. Use of any third-party services is at your own risk and subject to their respective terms and conditions.

15. Termination

These Terms and your right to access the platform may be terminated:

  • By you, upon providing written notice to your school administrator
  • By your school or institution, upon withdrawal of the institutional licence
  • By Cogniax AI, in the event of a material breach of these Terms

Upon termination, your right to access and use the platform ceases immediately. Cogniax AI will handle any data in accordance with the Privacy Policy and applicable law.
